The Quote
"No further TSLA sales planned after today"
Twitter, @elonmusk, Apr 28, 2022The Action
His Form 4 filings with the SEC record three further rounds of open-market sales of Tesla stock in the eight months after the post.
Aug 5 to Aug 9, 2022: 7,924,107 shares, about $6.89 billion. Nov 4 to Nov 8, 2022: 19,500,000 shares, about $3.95 billion. Dec 12 to Dec 14, 2022: 21,995,000 shares, about $3.58 billion. Together that is about $14.4 billion, on top of the roughly $8.5 billion he had sold in the three days before the post.
Tesla split its stock three for one between the August and November sales, so the share counts are not comparable across that line. The dollar figures are.
SEC Form 4 filings, Elon Musk, Tesla, Inc., Filed Aug 9, Nov 8 and Dec 14, 2022The Gap
Three months and twelve days from the post to the next sale, and then two more rounds before the year ended. The word he used was "planned", and that matters. But the filings show what followed, and what followed was larger than what came before.
The Read
Be precise about what he said. He did not promise never to sell. He said no further sales were planned, on the evening his filings showed he had sold about $8.5 billion of Tesla stock in three days to help fund the Twitter purchase. Plans change, and a statement about plans is not a vow.
He also explained the first of the later sales himself. When the August filings appeared he was asked whether he was done selling, and answered: "Yes. In the (hopefully unlikely) event that Twitter forces this deal to close and some equity partners don't come through, it is important to avoid an emergency sale of Tesla stock." That is a reason, given in public, and a reasonable one.
What the record shows is that the reassurance did not hold, twice. The April post said no further sales were planned, and August brought $6.89 billion of them. The August answer began with the word yes, and November and December brought another $7.5 billion. Each statement was made to people who were holding the stock and deciding what to do, and each was overtaken by a Form 4 within months.
None of this was hidden. Every sale was reported to the SEC within the two business days the rules allow, which is why we can total them to the dollar. The pattern is not concealment. It is that his public statements about his own selling were a poor guide to his selling in 2022, and the filings were a perfect one.
That is also why his 2026 record matters. When he posted "I'm not selling any shares" before the SpaceX offering, the filings that followed matched the words, and we recorded that as kept. Both entries belong on the same page.
